«Seller» means ADARSUS Adarsus Technologies S.L., registered in Spain, with the Commercial Register of Madrid - Volume 37201, Folio 130, inscription 1 with page M-663796 (in these Conditions, also referred to as «Adarsus.com») and with registered office at Avda. Secundino Zuazo, 95, CP 28055, Madrid (Spain).
«Buyer» means the person whose name is printed on the Order.
«Contract» means the Order and the Order Confirmation (including other Special Conditions).
«Defective» means having some defect or imperfection; imperfect or defective.
«Products» means the products or services sold by the Seller in accordance with these Terms and Conditions of Business.
«Order» means the order for Products or services placed by the Buyer.
«Order Confirmation» means the Seller's written confirmation in accordance with Condition 3(b).
«Price» means the price together with delivery charges in effect at the date and time of the Order, subject to any promotional offers or discounts applicable at that time.
«Person» means any person, company or enterprise.
«Special Conditions» means any conditions in relation to orders set out and specified as such in the Order Confirmation.
«Terms and Conditions of Business» means the standard terms and conditions of business set out in this document.
«Written» includes, except for the purposes of Condition 9, e-mails clearly identifying the sender and recipient, and written on a monitor screen or other similar device.
(i) The Seller respects the intellectual property of others. If you are a third party and believe that your work has been copied in a way that infringes your copyright, please send the following information to the Seller:

The Seller undertakes to process all personal data obtained from the use of the website in accordance with the principles stipulated by law. Please refer to the Privacy Policy Adarsus.com for more information.
(i) All notices given or given in connection with the Contract shall be in writing (excluding writing on a monitor screen or other similar device, which is not a writing for the purposes of this Section).
(ii) Notices to the Seller shall be sent to the address specified in Section 9(e) and notices to the Buyer shall be sent to the address specified in the Order and, such addresses having been used, shall be deemed to have been duly given or given in the following cases:
* in case of personal delivery, upon delivery to the address of the party concerned; or
* in the case of delivery by preferential mail, two working days from the date of dispatch.
(iii) The Seller and the Buyer may notify each other respectively of a change of name, addressee or address for the purposes of this Section, and such notification shall only be effective:
* on the date specified as the date on which the change is to take place; or
* if no date is specified or if the date specified is less than five working days after the date of delivery of the notice, five working days after delivery of the change notice.
(iv) This Section shall not apply in connection with the formal service of court papers or any other documents relating to any disputes under the Contract.
(i) The Contract shall be governed by and construed in accordance with the laws of Spain.
(ii) The parties irrevocably agree that the courts of Spain shall have non-exclusive jurisdiction to settle any dispute relating to the Contract.
No failure by the Seller to exercise any right or power when it could exercise it shall invalidate such right or power. Where the Seller exercises a right or power, it may exercise it again in the same or a different manner.
The Seller's and Buyer's rights and remedies under the Contract are in addition to and not in derogation of the rights and remedies applicable at law.
If any term or provision of the Contract is declared by a court of competent jurisdiction to be void, contrary to public policy or unenforceable, and such declaration or order becomes final after all appeals have been exhausted, such term or provision shall be modified to the extent necessary to make it valid and enforceable. In the event that the provision or condition in question cannot be modified, it shall be deemed to be deleted from the Contract in its entirety and the remainder of the Contract shall continue in full force and effect.
As public networks such as the Internet often experience interruptions, the Seller cannot guarantee that the Adarsus.com website will always be available at 100%. While the Seller strives to provide as stable a website as possible, interruptions and delays in accessing the website are unavoidable and the Seller disclaims any liability for damages resulting from such problems.
Information on the Adarsus.com website may contain typographical or technical errors. The Seller endeavours to provide descriptions that are as accurate as possible, but does not warrant that the content of the Adarsus.com website is accurate, complete, reliable, current, or error-free.
The Seller grants the Buyer a personal, non-exclusive and non-transferable right to the services and applications available on the website: adarsus.com.
The Buyer is expressly prohibited from offering metadata cleansing and/or processing services to third parties, either free of charge or for payment.
Failure to comply with any of these conditions automatically voids the right to use the products and/or licences purchased by the Buyer, and may also result in legal action being taken against the Buyer.
Use of purchased products and/or licenses must be in accordance with all policies stated by Adarsus.com, including those of Privacy policy of Adarsus.com.
A link to a website other than Adarsus.com does not mean that the Seller endorses or accepts any responsibility for the content or use of such website. It is the Buyer's responsibility to take steps to ensure that whatever it selects for its use is free of such items as viruses, worms, Trojan horses and other items of a destructive nature.
Sections and section headings are used solely for the convenience of the parties and shall not affect the interpretation of the Contract.
By registering for a username on Adarsus.com, the Buyer represents and warrants that he/she is at least 18 years of age and is capable of entering into legally binding contracts under applicable law. The Buyer agrees to keep the username and password confidential. The Buyer further warrants that the information provided to the Adarsus.com website is accurate. Falsification or omission of contact information, such as the Buyer's name, address and/or telephone number, during registration on Adarsus.com is prohibited. Users may also not use false numbers or fax numbers as a telephone number. In using this website, Buyer must comply with all applicable international, federal, state and local laws.
Seller, in its sole discretion, may terminate Buyer's user registration for violating ADARSUS Policies. Buyer agrees that failure to comply with any of the terms of the Agreement may also result in immediate termination of Buyer's user registration and/or give rise to a claim or cause of action against Buyer.
The Seller reserves the right at any time, with or without the Buyer's prior consent and without liability to the Buyer in that regard, to remove from the Adarsus.com website all personal information, data, text, files, images and any other data of the Buyer, and to prevent the Buyer's access to such data. In particular, it is the Seller's absolute policy to reject any material that it, in its sole discretion, deems obscene, in bad taste or otherwise inappropriate.
Buyer agrees to indemnify Seller, its affiliates, employees, employees, agents, representatives and independent service providers, and to defend and hold harmless Seller, its affiliates, employees, agents, representatives and independent service providers from and against any and all claims and liabilities (including legal fees and costs) arising out of Buyer's submission of content to the Adarsus.com website and/or Buyer's unauthorised use of material obtained through the Adarsus.com website, and/or Buyer's breach of the Contract, or any other loss or damage of any kind suffered by Seller in connection with Buyer's use of the Seller's website.
The Seller reserves the right from time to time to change the nature of the services and/or the manner in which it provides them under contracts with Buyers and, consequently, to change and modify the ADARSUS Policies. Buyers who regularly use the Seller's services should regularly consult the relevant links before placing Orders.
